nine License Agreement
THIS ENGLISH TRANSLATION IS ONLY FOR PURPOSE OF REFERENCE.THE JAPANESE VERSION OF THIS AGREEMENT SHALL PREVAIL.
This License Agreement ("this Agreement") sets forth the terms and conditions applicable to your use of the network library nine (nine), rights to which are owned by FenixSoft Co., Ltd. ("FenixSoft").If you wish to use nine, please read this Agreement carefully and agree to the terms and conditions before using nine.
IF YOU NOT AGREE TO ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT, PLEASE DO NOT DOWNLOAD OR OTHERWISE USE nine. BY DOWNLOADING ANY OR ALL OF nine, YOU AGREE TO BE BOUND THIS AGREEMENT.
ARTICLE I (GRANT OF LICENSE)
FenixSoft grants you the non-exclusive right to use nine for free provided that you adhere to all the terms and conditions of this Agreement.
ARTICLE II (DERIVATIVE WORKS)
Derivative works mean anything you have deveropped that operates with nine("Derivative Works"). Each provision in this Agreement shall apply to derivative works of nine.
ARTICLE III (nine LOGO DISPLAY)
If you distribute nine, which includes but is not limited to copying, circulating, and publicly transmitting (collectively "distributing" hereinafter) Derivative Works, regardless of whether or not you receive compensation for such distribution, you shall display the nine logo specified by FenixSoft with the Derivative Works.(* Please download the nine logo from our website. Also see our website for the method of displaying the logo.）
ARTICLE IV (OWNERSHIP)
1. Patent rights, utility model rights, trademark rights, design rights (all of which include the right of being registered) and copyrights (including all rights set forth in article 21 to 28 of the Copyright Law in Japan) as well as all other intellectual property rights and moral rights pertaining to nine shall belong to FenixSoft.
2. FenixSoft hereby confirms that, other than the right to use nine granted in this Agreement, we do not grant or transfer any intellectual property rights
ARTICLE V (RESTRICTIONS)
1. You shall not sell, assign, transfer, collateralize, license, or lease in any matter, the entire nine library or any portion thereof.
2. You shall not analyze and use the internal components and programs of nine through reverse-engineering or other applicable methods.You are also prohibited from instructing, demanding, or requesting third parties to perform reverse-engineering.
3. You shall not copy, modify, sub-license (redistribute) or distribute nine except in the case explicitly defined in this Agreement.
4. You shall not sub-license Derivative Works to third parties regardless of whether or not you receive compensation for such sub-licensing.
5. You shall not distribute a part of your Derivative Works without the link of nine to third parties regardless of whether or not you receive compensation for such distribution.
ARTICLE VI (INDEMNITY)
If any losses or damages are incurred as a result of your violation of this Agreement or events attributable to you, FenixSoft shall be entitled to claim damages.
ARTICLE VII (DISCLAIMER)
nine is provided as-is without warranty of any kind. In no event shall FenixSoft be liable to you for any incidents, including but not limited to liability for defect warranty and warranty for intellectual property rights being free from infringement, as well as the consequential losses and damages, directly or indirectly, (including losses and damages to third parties caused by you), arising out of, or in connection with the use or selection of nine.
ARTICLE VIII (NO WARRANTY)
FenixSoft shall not provide any support with regard to the use of nine.Please see our website for more information about nine.
ARTICLE IX (TERMINATION)
This Agreement becomes effective when you start using nine and continues to be effective until you stop using nine.If you fail to comply with the terms and conditions of this Agreement, FenixSoft can and will terminate this Agreement immediately.
ARTICLE X (MISCELLANEOUS)
1. This Agreement is governed by the applicable laws and regulations in Japan and interpreted in accordance with the laws of Japan.
2. Any disputes arising in connection with nine or this Agreement between you and FenixSoft will be subject to the exclusive jurisdiction of the Tokyo District Court.
